These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and CodeWright LLC ("CodeWright," "we," "us," or "our"), governing your access to and use of the FISTWorks platform, including all related websites, applications, and services (collectively, the "Service"). By creating an account, accessing, or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.
1. Description of Service
FISTWorks is a cloud-based software-as-a-service (SaaS) platform that provides tools for creating, validating, and transmitting ACH (Automated Clearing House) payment files in NACHA format. The Service includes:
- ACH Validator — Validates ACH files for NACHA format compliance.
- ACH Drafter — Creates NACHA-compliant ACH files from user-provided data.
- SFTP Transmission — Transmits generated ACH files to user-configured SFTP endpoints.
- Third-Party Integrations — Optional connections to third-party services such as QuickBooks Online.
FISTWorks is not a bank, financial institution, payment processor, or money transmitter. The Service generates formatted data files based on information you provide. We do not initiate, process, settle, or guarantee any financial transaction. You are solely responsible for your banking relationships, NACHA compliance, and the accuracy of all data entered into the Service.
2. Eligibility
You must be at least 18 years of age and have the legal capacity to enter into a binding agreement to use the Service. If you are using the Service on behalf of a business or organization, you represent that you have the authority to bind that entity to these Terms.
3. Account Registration
To use the Service, you must create an account through our identity provider (Microsoft Entra ID). You agree to:
- Provide accurate and current information during registration.
- Maintain the security of your account credentials.
- Promptly notify us of any unauthorized use of your account.
- Accept responsibility for all activity that occurs under your account.
We are not liable for any loss or damage resulting from unauthorized access to your account.
4. Organizations and Multi-User Access
FISTWorks uses an organization-based structure. When you create an organization, you become its administrator. You may invite additional users to join your organization. As an organization administrator, you are responsible for:
- Managing user access and roles within your organization.
- Ensuring all members of your organization comply with these Terms.
- All activity conducted within your organization, including by members you invite.
5. Subscription Plans and Billing
5.1 Plans
The Service is offered under multiple subscription plans (Free, Pro, Plus, and Max) with varying feature sets, seat limits, and usage quotas. Plan details and pricing are described on our Pricing page.
5.2 Billing
Paid subscriptions are billed through Stripe, our third-party payment processor. By selecting a paid plan, you agree to Stripe's terms of service and authorize recurring charges at the intervals you select (monthly or annual). You are responsible for keeping your payment method current.
5.3 Changes to Pricing
We may change subscription pricing with at least 30 days' advance notice. Price changes apply at your next billing cycle after the notice period.
5.4 Refunds
Subscription fees are non-refundable except where required by applicable law. If you cancel a paid subscription, you retain access until the end of your current billing period.
6. Acceptable Use
You agree to use the Service only for lawful purposes. You must not:
- Use the Service to initiate unauthorized ACH transactions or fraudulent payments.
- Enter false, misleading, or stolen banking information (account numbers, routing numbers, or recipient data).
- Use the Service for money laundering, terrorist financing, or any activity prohibited by the Bank Secrecy Act, USA PATRIOT Act, or OFAC sanctions.
- Attempt to gain unauthorized access to the Service, other user accounts, or our systems.
- Reverse-engineer, decompile, or attempt to extract the source code of the Service.
- Use the Service in any manner that could disable, overburden, or impair our infrastructure.
- Resell, sublicense, or commercially redistribute the Service without our written consent.
We reserve the right to suspend or terminate your account for any violation of this section.
7. Your Data and Responsibilities
7.1 Ownership
You retain all ownership rights to the data you provide to the Service, including recipient information, bank account details, transaction data, and generated ACH files ("Your Data").
7.2 License to Us
By using the Service, you grant us a limited, non-exclusive license to store, process, and transmit Your Data solely to operate and provide the Service to you. We do not sell, share, or use Your Data for any purpose beyond providing the Service.
7.3 Accuracy
You are solely responsible for the accuracy, completeness, and legality of all data you enter into the Service. This includes but is not limited to:
- Recipient names, bank account numbers, and routing numbers.
- Transaction amounts and types (credit or debit).
- SEC (Standard Entry Class) codes and their appropriate use.
- Effective dates and settlement timing.
FISTWorks does not verify the accuracy of banking information you provide. Errors in your data may result in failed, delayed, or misdirected transactions, for which we bear no responsibility.
7.4 NACHA Compliance
While FISTWorks generates files in NACHA format, you are responsible for ensuring that your transactions comply with NACHA Operating Rules, your originating bank's requirements, and all applicable federal, state, and local laws.
7.5 Sanctions and Export Compliance
You represent and warrant that:
- Neither you nor your organization is a person or entity identified on the Specially Designated Nationals and Blocked Persons List (SDN List) maintained by the U.S. Department of the Treasury's Office of Foreign Assets Control (OFAC), or any other applicable sanctions or restricted-party list.
- You will not use the Service to create, transmit, or facilitate ACH transactions involving any person, entity, or country subject to U.S. sanctions administered by OFAC, the Bureau of Industry and Security (BIS), or any other U.S. government authority.
- You are solely responsible for ensuring that the recipients, transactions, and data you enter into the Service comply with all applicable sanctions laws, anti-money laundering regulations, and export controls.
FISTWorks does not perform sanctions screening, OFAC list checking, or transaction monitoring. Sanctions compliance for ACH transactions is the responsibility of the Originating Depository Financial Institution (ODFI) and its designated payment processors under applicable NACHA Operating Rules and federal banking regulations. You acknowledge that your bank, not FISTWorks, performs OFAC screening when processing ACH files.
8. SFTP Transmission
The Service allows you to transmit ACH files to SFTP endpoints that you configure (typically your bank's SFTP server). You are responsible for:
- Providing correct SFTP connection credentials and server details.
- Ensuring your bank accepts file transmissions via the configured endpoint.
- Maintaining your banking relationship and any agreements required by your bank for electronic file submission.
We transmit files to the endpoint you specify. We are not responsible for what happens to files after they are delivered to your SFTP server, including bank-side processing, rejection, or delays.
9. Third-Party Integrations
The Service may integrate with third-party services, including but not limited to QuickBooks Online (Intuit), Stripe, and Microsoft Entra ID. Your use of these integrations is subject to the respective third party's terms of service and privacy policies. We are not responsible for the availability, accuracy, or conduct of any third-party service.
10. Intellectual Property
10.1 Our Rights
The Service, including its software, design, documentation, trademarks, and all related intellectual property, is owned by CodeWright LLC and protected by applicable intellectual property laws. These Terms do not grant you any rights to our intellectual property except the limited right to use the Service as described herein.
10.2 Feedback
If you provide us with suggestions, feature requests, or other feedback about the Service, we may use that feedback without obligation to you.
11. Account Closure and Data Deletion
11.1 Closing Your Account
You may close your individual account at any time from your Profile settings. Upon closure, your organization memberships are revoked and your personal profile is removed from active use. See our Account Closure & Data Deletion page for details.
11.2 Closing Your Organization
An organization administrator may close the organization at any time. Organization closure enters a 30-day grace period during which no data is deleted and the closure may be canceled. After the grace period, all organization data is permanently and irreversibly deleted, including ACH files, recipient records, bank configurations, SFTP profiles, and audit logs.
11.3 Termination by Us
We may suspend or terminate your access to the Service at any time, with or without cause, and with or without notice, including for violation of these Terms. Upon termination, your right to use the Service ceases immediately. Sections 7.1, 12, 13, 14, 15, and 16 survive termination.
12. Disclaimer of Warranties
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY. TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ACCURACY.
WITHOUT LIMITING THE FOREGOING, WE DO NOT WARRANT THAT:
- THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.
- ACH FILES GENERATED BY THE SERVICE WILL BE ACCEPTED BY ANY BANK OR FINANCIAL INSTITUTION.
- THE SERVICE WILL MEET YOUR SPECIFIC REQUIREMENTS OR EXPECTATIONS.
- ANY DEFECTS IN THE SERVICE WILL BE CORRECTED.
13. Limitation of Liability
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL CODEWRIGHT LLC, ITS OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO:
- LOSS OF REVENUE, PROFITS, OR BUSINESS.
- FINANCIAL LOSSES ARISING FROM INCORRECT, FAILED, OR DELAYED ACH TRANSACTIONS.
- DATA LOSS OR CORRUPTION.
- COST OF PROCUREMENT OF SUBSTITUTE SERVICES.
WHETHER ARISING FROM CONTRACT, TORT, NEGLIGENCE, STRICT LIABILITY, OR OTHERWISE, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
OUR TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU HAVE PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED DOLLARS ($100).
14. Indemnification
You agree to indemnify, defend, and hold harmless CodeWright LLC and its officers, directors, employees, and agents from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from or related to:
- Your use of the Service.
- Your violation of these Terms.
- Your violation of any applicable law or regulation.
- Any ACH transactions initiated using files generated through the Service.
- Any claim by a third party resulting from your use of the Service.
15. Governing Law and Dispute Resolution
These Terms are governed by and construed in accordance with the laws of the State of Colorado, without regard to its conflict of laws provisions. Any disputes arising from or relating to these Terms or the Service shall be resolved exclusively in the state or federal courts located in Colorado. You consent to the personal jurisdiction of such courts.
16. General Provisions
16.1 Entire Agreement
These Terms, together with our Privacy Policy, constitute the entire agreement between you and CodeWright LLC regarding the Service and supersede all prior agreements.
16.2 Severability
If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.
16.3 No Waiver
Our failure to enforce any provision of these Terms does not constitute a waiver of that provision or any other provision.
16.4 Assignment
You may not assign or transfer these Terms or your rights under them without our written consent. We may assign these Terms without restriction.
16.5 Modifications
We may update these Terms from time to time. We will notify you of material changes by posting the updated Terms on the Service and updating the "Last Updated" date. Your continued use of the Service after changes take effect constitutes acceptance of the revised Terms. If you do not agree to the revised Terms, you must stop using the Service.
